1. Who these terms are with

This website is operated by Shanghai Rongchang Technology Co., Ltd. (brand: Rongchang Fabric), Shanghai, China. By using the site or sending an inquiry through it, you accept these terms. If you do not accept them, please do not use the site.

This is a summary prepared for launch. It will be reviewed and updated before the site goes live, and the date at the top of this page will change when it is.

2. Use of the website

The site is provided for information about our fabrics and services and for sending inquiries. You may read, print and share the pages for your own business evaluation. You may not copy the site wholesale, republish it as your own, scrape it at volume, or attempt to interfere with its operation.

You are responsible for the accuracy of what you send us, and for making sure you have the right to share any specification, artwork, reference sample or buyer document you send.

3. Accuracy of product information

Fabric specifications on this site — composition, weight, width, shrinkage, finish and similar values — are indicative. They describe the type of cloth and the range we work in, not a guaranteed figure for your order.

The specification that applies to your order is the one confirmed per order, agreed in writing before bulk production, and stated on the order documents. Tolerance ranges and any test standard are agreed at the same point. Where a page and an order document disagree, the order document applies.

4. Quotations and their validity

We do not publish price lists, and nothing on this website is an offer. A quotation is prepared for a named buyer, article and quantity.

• Validity is not a fixed number of days. It is set per order by the article, the quantity and the upstream price-lock conditions at the time of quoting, and it is written into the quotation.
• Yarn and dye prices, exchange rates and freight rates move. For new orders, the validity of exchange rate, freight and fuel surcharge is stated separately on the quotation or order.
• A quotation is based on the specification, quantity and delivery point stated in it. A change to any of those may change the price, the minimum or the lead time, all subject to confirmation.
• Minimum order quantities quoted are usual values for the article concerned, confirmed per order rather than standing.

5. Orders and payment terms

An order exists when both sides have confirmed it in writing, and only for the article, quantity, specification, price and delivery terms recorded at that point. Sample approval, where required, is part of that confirmation.

Payment terms are agreed per order and stated in the order documents. Nothing about payment — deposit, balance, credit or currency — is published on this website, and nothing on this website should be read as a payment term.

Production lead times and shipping dates are given as working estimates against the schedule at the time of confirmation, and are subject to confirmation. Delivery dates depend on production, inspection and freight, including circumstances outside our control.

6. Intellectual property

The text, layout, images and marks on this website belong to us or are used with permission, and may not be copied for commercial use without our written consent. Specification sheets, documents and samples we send you may be used to evaluate and order our fabrics; they may not be passed to a third party as their own material or used to have the same cloth produced elsewhere.

Artwork, colour standards or designs you send us remain yours. We use them only to quote and produce your order.

7. Third-party links

The site may link to documents or services operated by others — for example a courier tracking page or a certification reference. We do not control those sites and are not responsible for their content, availability or how they handle your data. Their own terms apply when you use them.

8. Limitation of liability

The website is provided as it is. We take care to keep the information correct and the site available, but we do not warrant that every page is complete, current or free of interruption.

We are responsible for the goods we supply as set out in the order documents. To the extent permitted by law, we are not liable for indirect or consequential loss — for example lost profit, lost production time at a garment factory, or penalties under a contract we are not party to.

Where a quality issue arises, the agreed remedies are make-up fabric, a re-run, an equivalent deduction or a price adjustment, capped at the contract value of the verified affected fabric, with no duplicate compensation for the same loss. Nothing in these terms limits liability that cannot be limited by law.

9. Governing law and disputes

These terms and any dispute arising from use of this website are governed by the laws of the People's Republic of China. The parties will try to settle any dispute by discussion first, and if that fails, the courts of the People's Republic of China have jurisdiction. Terms agreed for a specific order, or in a signed contract, take precedence over this page for that order.

10. Changes and contact

We may update these terms; the version published here at the time you use the site applies, and the date at the top of the page shows when it was last changed.
